CrowdCent is not recommending any security, digital asset, investment strategy, or investment approach through the Challenge or its Materials. You should not make any investment decision based on the Challenge or its outputs without first conducting your own research and due diligence.

PREDICTION PERFORMANCE DISCLAIMERS

Any projections, forecasts, predictions, estimates, or other "forward-looking statements" provided through the Challenge or generated by participant submissions:

  • Are based on various assumptions and methodologies that may prove incorrect or change without notice
  • Are inherently subject to significant uncertainties and contingencies, many beyond CrowdCent's control

SECURITIES LAW DISCLOSURES

Participation in the CrowdCent Challenge does not create an investment contract between users and CrowdCent. The Challenge is designed as a skills-based competition where rewards, if any, are based on the objective performance of prediction models against defined evaluation metrics, and not on the performance of CrowdCent as a business entity or any expectation of profits derived from the efforts of CrowdCent's management.

Any rewards, tokens, or other forms of compensation that may be offered through the Challenge:

  • Are not securities under applicable securities laws
  • Do not represent ownership interests in CrowdCent or its affiliates
  • Do not entitle holders to voting rights or management control
  • Do not provide rights to dividends, profit-sharing, or other distributions
  • Are provided solely as rewards for participation and technical achievement

The Challenge and associated activities are not designed to function as an investment vehicle, collective investment scheme, security offering, or fundraising mechanism. Users should participate only for the purpose of developing and testing predictive models in a competitive environment.

THIRD-PARTY INFORMATION

The Challenge may incorporate data, information, and content from third-party sources. While CrowdCent takes reasonable steps to use reliable information, we make no representations or warranties as to the accuracy, completeness, or reliability of third-party information. Such information is provided "as is" without warranty of any kind. CrowdCent has not independently verified such information and does not assume responsibility for errors or omissions in third-party data.

NO OFFER OR SOLICITATION

Nothing in the Challenge Materials constitutes an offer to sell, a solicitation of an offer to buy, or a recommendation for any security, digital asset, or investment strategy. The Challenge and its Materials do not constitute an offer to provide investment advisory services. Any offer to invest in a CrowdCent investment vehicle, if made, would be made solely through confidential offering documents, which should be read in their entirety.

MATERIAL NON-PUBLIC INFORMATION

Users must not submit predictions or develop models based on material non-public information (MNPI). Information is considered material if a reasonable investor would likely consider it important when making an investment decision. Information is non-public if it has not been broadly disseminated to the investing public through major newswire services, national news services, financial news services, filings with securities regulators, or other widely available sources.

Users with access to MNPI through their employment or other relationships must ensure that their participation in the Challenge complies with applicable securities laws and their employer's policies regarding information barriers, confidentiality, and trading restrictions. CrowdCent strictly prohibits any attempt to exploit MNPI through the Challenge.

ACCREDITED INVESTOR NOTICE

Certain investment offerings or strategies referenced in the Challenge or its Materials may be available only to "accredited investors" as defined under U.S. federal securities laws or "qualified purchasers" under the Investment Company Act of 1940. These investors are generally deemed capable of evaluating the merits and risks of prospective investments and financial matters. Qualifying as an accredited investor or qualified purchaser is not a guarantee of investment success.

RISK DISCLOSURE

Any investment involves a high degree of risk, including the risk that the entire amount invested is lost. Investments in securities, digital assets, derivatives, and other financial instruments involve risks including:

  • Liquidity constraints

CONFLICTS OF INTEREST

CrowdCent and its affiliates may have financial interests that conflict with those of Challenge participants. We may operate investment vehicles that utilize strategies similar to those developed in the Challenge. We may also have relationships with companies whose data is used in the Challenge or whose securities may be the subject of predictions developed through the Challenge.

INTELLECTUAL PROPERTY

Subject to the terms and conditions governing the Challenge, participants retain ownership of the underlying methodologies used to generate their predictions. However, by participating in the Challenge, you grant CrowdCent specific license rights to use your submitted prediction files as detailed in our Terms and Conditions. Please review these terms carefully before participating.

COMPLIANCE WITH FINANCIAL REGULATIONS

CrowdCent is committed to compliance with applicable financial regulations. Users participating in the Challenge must ensure their activities comply with all relevant laws and regulations in their jurisdiction, including but not limited to:

  • Anti-money laundering (AML) and counter-terrorist financing (CTF) regulations
  • Securities laws and regulations
  • Commodity futures trading regulations
  • Data privacy and protection requirements
  • Sanctions and embargoes imposed by applicable jurisdictions

CrowdCent reserves the right to implement appropriate compliance measures, including know-your-customer (KYC) verification, to ensure adherence to these regulations. We may also be required to report certain activities to regulatory authorities as mandated by applicable law.

REGULATORY STATUS

CrowdCent is not registered as an investment adviser, broker-dealer, commodity trading advisor, or other regulated financial entity with the U.S. Securities and Exchange Commission, the Commodity Futures Trading Commission, the Financial Industry Regulatory Authority, or other regulatory bodies. The Challenge is designed as a research and predictive modeling competition, not as a regulated investment activity or financial service.

Implementation of any investment strategy derived from the Challenge may be subject to various regulations and registration requirements in different jurisdictions. Users are responsible for ensuring their own compliance with applicable laws and regulations before implementing any investment strategy commercially or applying insights gained through the Challenge to actual investment decisions.
